This Agreement and any dispute or claim (contractual or non-contractual) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, and the courts of Delaware shall have exclusive jurisdiction.

SEVERABILITY; NO WAIVER; HEADINGS
